Riyadh – Mubasher: Al Rajhi Company for Cooperative Insurance (Al Rajhi Takaful) has officially announced the timeline for electronic voting regarding its upcoming extraordinary general meeting (EGM).
The meeting, which is the first session scheduled for this agenda, is primarily focused on a proposed increase in the company’s capital.
According to the regulatory filing on Tadawul, the assembly is set to be conducted via modern technological means on Sunday, 21 June, at 7:30 PM.
This announcement follows a previous disclosure issued by the company in May, which initially invited shareholders to attend the general assembly.
To ensure broad participation and streamline the decision-making process, Al Rajhi Takaful has confirmed that the electronic voting period will begin at 1:00 AM on Wednesday, 17 June. This voting window will remain open for eligible shareholders until the assembly meeting concludes on the evening of 21 June.
The company has integrated the voting process through the Tadawulaty platform, a service provided by the Securities Depository Center Company (Edaa). Registration and voting on the platform are available to all shareholders free of charge.
By utilizing these digital services, the company aims to facilitate shareholder rights and ensure that the voting process is accessible to its entire investor base, regardless of geographic location.
The agenda for the meeting contains several significant items that require shareholder approval. In addition to the vote on the capital increase, the assembly will address the company’s financial statements and the appointment of external auditors.
Furthermore, shareholders will participate in the election of the Board of Directors. The election process will utilize cumulative voting, a mechanism that allows shareholders to distribute their votes among candidates, thereby enhancing the representation of various shareholder interests within the board structure.
To maintain transparency during the proceedings, Al Rajhi Takaful will provide a live audio broadcast of the assembly. Shareholders can access this stream through the link provided within the Tadawulaty system. This allows participants to monitor the discussions and the formal conduct of the meeting in real-time.
